The firm also assists business owners and management in evaluating and responding to extraordinary corporate transactions.

In addition, our team has extensive experience in the formation and operation of all forms of businesses, including limited liability companies, corporations, joint ventures, and general and limited partnerships. We also handle matters involving licensing and technology, changes in control, and negotiating and drafting business agreements, such as shareholder agreements, buy-sell agreements, option agreements, and employment and consulting contracts.

We also regularly advise companies, as well as their corporate management, boards of directors and board committees, on a wide variety of corporate governance matters. These include fiduciary duties, board oversight responsibilities, financial disclosure and legal compliance. Our advice relates to the procedural aspects and legal consequences of corporate actions, including corporate and securities transactions, stock option issues and general corporate matters. Depending on the client, such work may also involve counsel regarding a wide range of business actions and responses – mixing legal issues with sound, practical advice.
